Overview

The D-Loop website (hereafter the "Site") and the D-Loop services (hereafter the "Services") are offered strictly on an as-is, where-is basis and, without limiting the generality of the foregoing, are offered without any representation as to merchantability or fitness for any particular purpose. D-Loop may provide access to features or Services that are identified as "beta" or pre-release. Without limiting the preceding sentences in this paragraph, you understand that such Services are still in development, may have bugs or errors, may be incomplete, may materially change prior to a full commercial launch, or may never be released commercially.

Limitation of Liability and Release

To the maximum extent permitted by applicable Law, you irrevocably agree and acknowledge that neither D-Loop nor any of its affilates assumes any liability or responsibility for and shall not have any liability or responsibility for any losses directly or indirectly arising out of or related to:

• the [software], and your use of it;
• the Services made available by D-Loop and your use of any of them;
• any failure by you to comply with any applicable law;
• any information or materials available through the D-Loop Site whether originating from D-Loop or any other person;
• The real or perceived value of any currencies or digital tokens traded or utilized on the Site, or the price of any digital token displayed on the Site at any time;
• Any inaccurate, misleading, or incomplete statement by D-Loop or on the Site caused by D-Loop's negligence or otherwise;
• Any failure, delay, malfunction, interruption, or decision (including any decision by D-Loop to vary or interfere with your rights) by D-Loop in operating the Site or providing any service;
• Any offer, representation, suggestion, statement, or claim made about D-Loop, the Site or any Services provided by D-Loop or any of its affiliates;

You hereby agree to release D-Loop from liability for any and all such losses. To the maximum extent permitted by applicable law, the foregoing limitations of liability and releases shall apply whether the alleged liability or losses are based on contract, negligence, tort, unjust enrichment, strict liability, violation of law or regulation, or any other basis, even if D-Loop or its affiliates have been advised of or should have known of the possibility of such losses and damages, and without regard to the success or effectiveness of any other remedies.

Force Majeure

D-Loop is not responsible for damages caused by delay or failure to perform any Services when the delay or failure is due to fires; strikes; floods; power outages or failures; pandemics or epidemics; acts of God or the state's enemies; acts of any Government or Government Official; any and all market movements, shifts, or volatility; computer, server, or Internet malfunctions; security breaches or cyberattacks; criminal acts; delays or defaults caused by common carriers; acts or omissions of other Persons; or, any other delays, defaults, failures or interruptions that cannot reasonably be foreseen or provided against. In the event of force majeure, D-Loop is excused from any and all performance obligations.

Prohibited States

Neither the Site nor the Services are provided to persons from any of the following states: the United States of America; Botswana; Cambodia; Democratic Republic of the Congo; Ethiopia; Ghana; Iran; Pakistan; Panama; Seychelles; Sri Lanka; Syrian Arab Republic; Tunisia; Yemen; Albania; Burkina Faso; Mauritius; Morocco; Myanmar; Nicaragua; Senegal; Uganda; Zimbabwe; North Korea (each a 'prohibited state'). In using the Site and/or the Services you warrant that you are not a citizen of, or located in any of the prohibited states.
